- Definitions
1.1 Lessor: Asset Finance B.V., a private limited liability company with its registered office in Amsterdam and its place of business at Helicopterstraat 30, 1059 CG in Amsterdam, registered in the Trade Register of the Chamber of Commerce under number 99469995, hereinafter referred to as: “Lessor”.
1.2 Customer/Lessee: the party with whom Lessor enters into an agreement, hereinafter referred to as: “Customer”.
1.3 Object: all movable property made available by Lessor to Customer.
1.4 Operational lease: use with return obligation.
1.5 Financial lease: ownership transfers after full payment.
1.6 Agreement: includes contract and GTC.
1.7 Service Partner: authorised service party.
1.8 Consumer: non-business natural person.
1.9 In writing: includes email and electronic communication.
- B2B Scope and Eligibility Clause
2.1 Business Customers Only: Services are exclusively for business customers.
2.2 Customer Declaration: Customer confirms business use and status.
- Applicability
3.1 These GTC apply to all agreements.
3.2 Deviations must be agreed in writing.
3.3 Applies to follow-up orders.
3.4 Customer terms excluded.
- Quotations, conclusion, credit check
4.1 Quotations are non-binding.
4.2 Agreement forms upon confirmation or execution.
4.3 Credit checks and security may be required.
- Delivery, acceptance and condition
5.1 Delivery at agreed address.
5.2 Customer must inspect upon delivery.
5.3 48-hour defect reporting applies.
5.4 Risk transfers upon delivery.
- Use and location
6.1 Use according to purpose.
6.2 No relocation without consent.
6.3 Customer ensures compliance.
6.4 Non-compliance may result in suspension, charges, or misuse classification.
- Maintenance, service and modifications
7.1 Routine maintenance required.
7.2 Only authorised service allowed.
7.3 Maintenance contracts must be upheld.
7.4 Improper use costs borne by Customer.
- Insurance and claims
8.1 Customer must insure the Object.
8.2 Proof required upon request.
8.3 Customer liable if uninsured.
8.4 Damage must be reported immediately.
8.5 Insurance payouts go to Lessor.
- Ownership
9.1 Lessor retains ownership (operational lease).
9.2 Ownership transfers after payment (financial lease).
9.3 Identification must be preserved.
- Lease payment, taxes and indexation
10.1 Payments must be timely.
10.2 No set-off allowed.
10.3 Indexation may apply.
10.4 Taxes may be passed on.
10.5 Customer bears usage-related costs.
- Payment, SEPA direct debit, deposit
11.1 Payments via SEPA debit.
11.2 Failed payments incur costs.
11.3 Deposits may be used as security.
- Default, interest and collection costs
12.1 Default occurs automatically.
12.2 Interest applies.
12.3 Collection costs charged.
12.4 Lessor may suspend obligations.
- Complaints and duty to report
13.1 Complaints within 48 hours.
13.2 Report malfunctions immediately.
13.3 No suspension of payment.
13.4 Customer must report key changes and risks.
13.5 Full cooperation required.
- Liability
14.1 No liability for indirect damage.
14.2 Liability capped.
14.3 Customer liable for damage.
14.4 Customer indemnifies Lessor.
- Force majeure
15.1 No obligation during force majeure.
15.2 Agreement may be suspended or terminated.
- Duration and termination
16.1 Term defined in Agreement.
16.2 Interim termination limited.
- Default (Event of Default)
17.1 Immediate termination rights.
17.2 Right to damages retained.
- Return and repossession
18.1 Return upon expiry.
18.2 Condition requirements apply.
18.3 Costs for late/damaged return.
- Access and inspection
19.1 Access must be granted.
19.2 Costs borne if Customer at fault.
- Transfer and subcontracting
20.1 Lessor may assign rights.
20.2 Customer may not assign without consent.
- Confidentiality and IP
21.1 Confidentiality applies.
21.2 IP remains with Lessor.
- Privacy
22.1 Data processed per law.
- Consumer provision
23.1 Primarily B2B.
23.2 Consumer rights may apply where required.
- Nullity
24.1 Invalid clauses do not affect others.
24.2 Replacement clause applies.
- Applicable law and jurisdiction
25.1 Dutch law applies.
25.2 Amsterdam courts have jurisdiction.
